    Terms of Service

    These Terms of Service ("Terms") govern your access to and use of the website at scoreplex.io and the content, white papers, reports, and other materials we make available through it (the "Site"). The Site is operated by Scoreplex Inc. ("Scoreplex", "we", "us", "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

    Your use of the Scoreplex platform, AI agents, or any paid product is governed by a separate written agreement between you and Scoreplex (e.g., an order form, master services agreement, or subscription terms). Where such an agreement conflicts with these Terms regarding the platform, that agreement controls.

    1. Eligibility

    The Site is intended for business and professional use by individuals at least 18 years old (or the age of majority in their jurisdiction) able to form a binding contract. You represent that you meet these requirements and are authorized to act for any organization you represent.

    2. Use of the Site

    We grant you a limited, non-exclusive, non-transferable, revocable license to access the Site and to view and download our content for your own internal, informational, business purposes. You may not resell, redistribute, or commercially exploit our content without our prior written permission.

    3. Acceptable use

    You agree not to: use the Site unlawfully; attempt unauthorized access to the Site, systems, or other users' data; interfere with or disrupt the Site; scrape or use automated collection except as permitted; introduce malware; or misrepresent your identity/affiliation or submit false information via our forms.

    4. Intellectual property

    The Site and all content — text, white papers, reports, graphics, logos, and the "Scoreplex" name and marks — are owned by or licensed to Scoreplex and protected by IP laws. Except for the limited license in Section 2, no rights are granted. Do not use our trademarks without prior written consent.

    5. Informational content — no professional advice

    Our white papers, reports, sample outputs, and other content are for general informational purposes only. They are not legal, regulatory, compliance, financial, or other professional advice and should not be relied upon as such. You are solely responsible for your own due diligence and regulatory obligations and should consult qualified advisors before acting on any information from the Site.

    6. Third-party links and services

    The Site may link to third-party websites or services (scheduling, CRM, sign-in providers). We do not control and are not responsible for them; your use is governed by their own terms.

    7. Privacy

    Our handling of personal information is described in our Privacy Policy, incorporated by reference.

    8. Disclaimers

    THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant the Site will be uninterrupted, error-free, or secure, or that content is accurate or complete.

    9. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOREPLEX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED US$100.

    10. Indemnification

    You agree to indemnify and hold harmless Scoreplex and its affiliates from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Site or violation of these Terms.

    11. Changes to the Site and Terms

    We may modify or discontinue the Site at any time and may update these Terms; the updated version is posted here with a revised "Last updated" date, and continued use constitutes acceptance.

    12. Governing law and disputes

    These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute relating to these Terms or the Site, and you consent to personal jurisdiction there.

    13. Miscellaneous

    These Terms, with the Privacy Policy and any separate platform agreement, are the entire agreement regarding the Site. If any provision is unenforceable, the rest remain in effect. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or asset sale.
